: Commercial and Contracts Counsel

What Were Looking For

We are looking for a seasoned team member who can help drive Cogitos growth by supporting our functional teams as both a deal strategist and a contract negotiator. First, you will support our sales team in negotiating commercial agreements with large, sophisticated enterprises that are widely admired as the leading companies in their industries. These complex negotiations will test your commercial acumen, negotiating prowess, and legal skill. You will get involved in deals early and use your deal experience to guide our sales team through pricing and negotiation strategy. You will use all of these same skills to negotiate pricing and contracts with our vendors as well. But you should also have the range and desire to help out with whatever work the team needs to do to help Cogito grow, from general corporate to compliance to growth through M&A or international expansion. This role is ideal for a deal-driven lawyer who loves the thrill of a bring in a deal, but also has the drive and intellectual curiosity to flex into other areas at the same time, for maximum value for Cogito but also maximum personal growth. You should have a pragmatic and business-minded approach to tackling legal issues for Cogito. You should feel excited and challenged working in a fast paced and always changing environment. You should feel confident stepping into a strategic advisor role and be ready to learn and contribute in areas beyond what a lawyer is typically asked to do. This position will likely be based in Boston (we are open to remote arrangements for a person with the right experience and personality) and will report to the VP of Legal and Business Operations.

What Youll Be Doing

Strategizing with the sales team on pricing, deal structure, and negotiation strategy so that were making high impact commercial proposals to our clients

Drafting, reviewing, and negotiating high-value commercial agreements with large enterprise clients, including SaaS subscription agreements, master service agreements, statements of work, nondisclosure agreements, business associate agreements, and data transfer agreements

Assisting with the ongoing improvement of contract templates, contract playbooks, approval processes, and enablement assets

Reviewing NDAs, business associate agreements, data processing agreements, partner agreements, and any other document that helps us move the sales cycle forward

Managing and negotiating purchases from vendors and vendor agreements

Helping us implement a contract management system and measuring deal management metrics

Assisting with general corporate, data privacy, compliance, employment, M&A, international expansion, and other legal matters as needed by the company


U.S. Bachelors degree or international university equivalent required

J.D. degree from an accredited law school desired, but can be satisfied through significant on-point legal experience working with technology companies

5+ years of negotiated commercial and legal terms for complex B2B software licenses or SaaS subscription agreements

Experience leading negotiations against sophisticated client procurement and legal executives at large, multinational corporations

Knowledge of privacy and data security requirements

Experience creating contract playbooks and assets for sales and client enablement

Clear communication skills, exceptional judgment, and a practical business friendly approach to practicing law

Ability to thrive in a fast-paced environment and stay poised under pressure
